What is on this page

Each note covers one governance matter, and most companies need only one at a time. All three are information products: a written explanation of the general rules of the Companies Act, set beside the steps a company has to take, with blank outlines to keep. They are not legal advice and they are not a filing service.

The notes

from ¥13,800

About the transfer briefing

How to choose

A meeting is coming up or has just been held without a clear record. The meeting notes fit.

An officer's status is unclear: a term may have run out, or someone is joining or leaving. The director outline fits.

Shares are changing hands and the approval step is not clear. The transfer briefing fits.

If more than one applies, or none does, a short message is enough to sort out where to begin.

At a glance

The three notes with their scope, starting price and typical use
Note Scope Price Typical use
Meeting Notes One meeting cycle from ¥24,500 An upcoming or recent meeting
Director Outline One officer change from ¥19,500 A change of officers or a term that has run out
Transfer Briefing One 90-minute session from ¥13,800 A pending or planned share transfer

What the notes are not

How the price is fixed

The prices above are starting figures. For a given matter the fee, the scope and the delivery date are set out in a short written confirmation sent by e-mail before any work begins, and the same figures appear on the commercial notice. If a matter turns out to need more than the confirmed scope, for example a second meeting, that is discussed and agreed before further work starts.

Questions before deciding

Do I still need a lawyer?

For a routine matter you may not. For a contested transfer, a dispute among shareholders or an application to the registry you will want a lawyer or judicial scrivener, and the notes say where that point is. The statutory duties apply to the company whatever its size.

Can more than one note be combined?

Yes. Each note is scoped and priced separately, and the written confirmation lists which ones are included.

What happens after I write?

The message goes to the office mailbox. A reply follows by e-mail and, if the matter fits one of the three notes, it comes with the written confirmation described above. No reply time is promised here; if the matter is urgent, call the number in the footer.

If it helps to talk it through

A short message describing the matter is enough to find the right note, or to say plainly that none of them fits.
