Terms and Conditions
Last updated: 27 October 2026
These terms govern a paid note or briefing ordered from the operator of Helix Clinic. They are read together with the written confirmation sent for each matter.
Requirement
Where a service is paid for, the scope, the fee, what is delivered and what is not should be fixed before work begins.
In practice
Each note is confirmed by a short e-mail that names the scope, the fee and the delivery date. These terms fill in the rest.
1. Who the terms are between
These terms apply between the operator of Helix Clinic (the operator) and the company or person who asks for a written note or a briefing (the client). They are written for companies and their officers. The operator's name and registration details are given on request and in the commercial notice.
2. What is offered
- Shareholder Meeting Notes: a written note for one meeting cycle.
- Director Appointment Outline: a written outline for one officer change.
- Share Transfer Briefing: one session of about ninety minutes, online or by telephone, followed by a written summary.
- Each is an information product that explains the general rules of the Companies Act and sets them beside the steps a company takes.
3. What is not offered
- Legal advice, or an opinion on the client's company, its articles or its past decisions.
- Preparing or filing registration applications, or any other filing with a public office.
- Attending, chairing or running a meeting, negotiating with a counterparty or writing to one for the client.
- Valuing shares, or advice on tax, accounting or financial products.
- Any service connected with medicine or health.
4. No professional qualification is claimed
The operator does not claim to be a lawyer, a judicial scrivener, an administrative scrivener or a tax accountant, and does not perform work that the law reserves to those professions. Where a question reaches that point, the note says so and the client should turn to the right professional.
5. How an engagement starts
The client writes to the office. If the matter fits one of the three notes, the operator replies by e-mail with a written confirmation that states the note, the scope, the fee and the delivery date. The engagement begins when the client agrees to that confirmation in writing, which includes e-mail. Until then nothing is owed by either side.
6. Fees and payment
The prices on the site are starting figures, shown as “from” amounts. The fee for a matter is the amount in the written confirmation. The way and the time of payment, and whether consumption tax is shown separately, are stated in the same confirmation and agreed individually in writing.
7. Materials the client provides
- The client sends only what the note needs, usually the articles of incorporation and sometimes a shareholder register.
- The client confirms that it has the right to share those papers, and sends registers with names blanked out where possible.
- The operator uses the papers only for the note, keeps them confidential and handles them as the privacy policy describes.
8. Delivery
Notes are delivered electronically, by e-mail, at the time agreed in the written confirmation. The Share Transfer Briefing is held on a date and by a means (online or telephone) agreed in advance, and its written summary follows by e-mail. No delivery time is promised on the site beyond what the confirmation says.
9. Changes of scope
If the matter turns out to need more than was confirmed, for instance a second meeting or a further officer change, the operator says so before doing the extra work, and it is done only if the client agrees in writing to the changed scope and fee.
10. Cancellation
Cancellation and any refund are agreed individually in writing in the confirmation, before work starts. A client who is unsure should say so before agreeing.
11. Reliance and limits
- A note states the law as the operator understands it on the date of delivery. Later amendments are not tracked for the client.
- A note is not a legal opinion, and the client decides what to do with it. A lawyer or judicial scrivener should be consulted before acting on a point that matters.
- To the extent the law allows, the operator's responsibility for a note is limited to the fee paid for it, except for intentional misconduct or gross negligence, which cannot be limited.
- The operator is not responsible for delay or failure caused by events outside reasonable control.
12. Confidentiality
Each side keeps the other's non-public information confidential, except where disclosure is required by law or the information is already public.
13. Governing law and courts
These terms are governed by the laws of Japan. The court having jurisdiction over the operator's address in Ota, Gunma is the agreed court of first instance, unless a mandatory rule provides otherwise. Before any proceeding, both sides first try to settle a disagreement by talking.
14. Changes to these terms
The terms may be updated. The version in force for an engagement is the one shown on this page at the date of the written confirmation.
